Lloyd Schmidt

Lloyd Schmidt is an experienced corporate and business transactions attorney with more than 30 years of experience counseling companies and business owners.

Lloyd advises clients on general corporate advice and counsel issues, entity formation, and governance and operations. In cases where the opportunity or need arises, he also represents companies in mergers and acquisitions and corporate dissolutions resulting from shareholder disputes. Lloyd is well-versed in issues relating to vendors, suppliers, and other service providers, employee relations and agreements, stock plans, and contract negotiation.

With deep familiarity in the technology, eCommerce, retail, financial services, and food and beverage industries, Lloyd has represented major clients in domestic and international cross-border mergers and acquisitions, with some transactions in excess of $420 million. His experience representing clients on both the buyer and seller side gives Lloyd a well-rounded and strategic perspective on these matters. Lloyd also regularly advises on a variety of corporate governance issues, business strategy, and contract issues.

Prior to joining Hoge Fenton, Lloyd was a member of the corporate group and served as former chair of the Corporate, Tax, and Business Transactions Department at Hopkins & Carley.
